1. General informations 

The website https://bmolecular.eu/ (the « Site ») displays the products offered for sale by the company B Molecular (hereinafter the « Products »). The Site allows users to discover B Molecular’s Products as well as to contact the latter via a contact form. 

The Site is the property of B Molecular, SAS (hereinafter « B Molecular », « we », « us » and « our »). 

B Molecular is a simplified joint stock company with a capital of 70,000 euros, registered under the number FR 28908387707 and whose registered office is at 7B place du Président Mithouard, 75007 Paris. 

The director of the publication is Alexandre Greco. 

The Site is hosted by the company O2Switch, whose head office is located Chem. des Pardiaux, 63000 Clermont-Ferrand. 

To be able to browse the Site and use it to buy the products offered for sale on the Site, you must read carefully and accept the present Terms of Use as well as our Cookie policy. 

The purpose of these Terms of use is to define the terms and conditions under which B Molecular allows users (hereinafter the « User », or « you », « your » and « yours ») who agree to them, to use the Site. 

The Terms of use and the Cookie Policy form a contractual agreement that must be followed by all users of the Site. 

Capitalized terms have the meaning given to them in these Terms of use.

2. Entry into force / Amendment of the Terms of use 

These Terms of use are effective as of 30 August 2022.

B Molecular reserves the right to modify the Terms of use at any time in order to adapt to the evolutions of the Site, after informing the Users in case of significant changes within a reasonable time. 

However, certain changes regarding features newly added to the Site or made for legal reasons may be effective immediately. Changes apply as of their activation and have no retroactive effect. If you do not agree to the modified terms, you must cease all use of the Site. 

In case of modification, the modified Terms of use apply as soon as they come into force.

3. B Molecular’s Products

The Site allows for the promotion and sale of Products developed, manufactured and distributed by B Molecular. 

The activities of B Molecular only focus and are limited to the territory of the European Union.

In particular, B Molecular has chosen not to promote the sale, offer, sell and distribute its products in the United States of America or to customer located in the United States of America.

If You are located in the United States of America, you should immediately stop using and browsing the Site.

4. Sale

4.1 Sale process

i. Seller 

The seller is the publisher of the Site, whose contact details are indicated in Article 1 of these Terms of use and in the legal notice of the Site.  

ii. Products and price 

The prices of the Products are detailed in a price catalog, communicated on request in particular via the contact form of the Site. 

The prices indicated in this catalog can be updated at any time by B Molecular.  

For certain situations, B Molecular may communicate a quotation adapted to your specific needs.  

iii. Order 

The User has the possibility of placing an order for Products – as defined in Article 3 by contacting us via the contact form on the Site or by contacting our sales team directly.

This order is personal and non-transferable. 

Once the order is placed, B Molecular checks the availability of the Product ordered and provide you with an “Order Form” that specifies:

• The price or quote for the ordered products,
• The cost of delivery and expected time of delivery from the date of effective payment, 
• the place of delivery, 
• the delivery terms and the details of the shipping providers as well as the reference of their own terms and conditions, 
• the conditions and terms for exercising the right of withdrawal,
• the information relating to assistance and after-sales service and commercial guarantees.

4.2 Payment and billing 

The Order Form and its specific terms are valid and can be approved by you within a period of 30 days only, under the form and means detailed in the Order Form.

Following the approval of the Order Form, B Molecular send you the corresponding invoice. 

Payment is due within 30 days from the receipt of the invoice. In case of failure to pay within this period, the order is cancelled and the ordered products will not be shipped.

The payment is made by the means chosen in agreement with B Molecular. 

Once the payment is received, B Molecular will proceed with the delivery of the order within reasonable time.

5. Rights of public information 

B Molecular does not claim any property right on the data collected within the framework of the contact form and on the publicly accessible information. 

The Site may refer to or contain information from other third party websites or applications for the convenience of the User, including via hypertext links, without B Molecular being responsible for or controlling such content.  

6.Intellectual property rights 

The Site itself and the contents of the Site operated by B Molecular are protected by all intellectual property rights or rights of producers of databases in force, owned by B Molecular.

Any reuse or exploitation of any of these elements in whole or in part, without the authorization of B Molecular are strictly prohibited and may be subject to legal action.

You should assume that all content you view or read on the Site is protected by intellectual property rights. You must not, under any circumstances and by any means whatsoever, infringe the intellectual property rights of B Molecular.

As references, the Site mentions scientific publications in relation to the technical field of the Products that are authored at least partly by one or more employees of B Molecular. 

7. Reporting and removal of content 

7.1 Reporting content 

If you believe that any content on the Site is inappropriate, infringes your rights, or violates applicable law, you may report the content to B Molecular using the contact form.

Before sending it, please check that your case does not fall under an exception to copyright protection, such as the educational or short quote exception. Such a request can only be made by the copyright owner or a representative authorized to act on his or her behalf.

If you decide to submit a takedown request for copyright infringement, please be aware that you are initiating legal proceedings.

7.2 Removal of content 

B Molecular reserves the right to update the Site and to delete or remove all or part of any content at its sole discretion.

8. Privacy and data protection 

We use automated means of data collection on the Site. The data collected in this way may include the data of navigation on the Site, the pages consulted, the frequency of this consultation or the dates of connection. The information you provide when accessing and using the Site is therefore subject to the Cookie Policy. 

In the context of the online contact form, or via a communication sent to B Molecular, the Users of the Site may also provide personal data (name, company, e-mail and other data that may be contained in the message text). The collection of this personal data is limited to making contact and cannot be used for commercial or advertising purposes, unless otherwise requested by You. 

The only recipient of the collected data is B Molecular These personal data are not shared with third parties, unless necessary for the purpose requested by You, e.g. the shipment of the ordered products. They are retained for two years, starting from the achievement of the objective of making contact. 

The User may exercise his/her rights with regard to his/her personal data at the following address: contact@bmolecular.eu, namely the right of access, the right of rectification, the right to erasure, the right to limitation of processing, the right to portability of his/her data, and the right of opposition. 

9. Other provisions

If it turns out that a particular condition of these Terms of use cannot be applied for any reason, this has no effect on the rest of the conditions, unless otherwise provided by the applicable law.

B Molecular may assign all or part of these Terms of use to one of its affiliates or, if B Molecular is assigned, to a third party, provided that this does not result in a restriction of your rights without your consent. 

If you fail to comply with these Terms of use and we do not immediately take action, this does not mean that we waive our rights (for example, the right to take action later).

10. Governing law

These Terms of use are subject to French law.

For any difficulty encountered in relation to these Terms of use, the User can contact contact@bmolecular.eu with his request.

If the dispute cannot be resolved amicably, any dispute relating to the validity, interpretation, execution and/or termination of the Terms of use will be brought before the Paris Court of First Instance.
